Affiliate Contract

AFFILIATE SERVICES AGREEMENT

This Affiliate Services Agreement (“Agreement”) is entered into this ______ Day Of ____________, 20__ (the “Effective Date”) by and between ___________________ ("Affiliate") and AMAFHH ENTERPRISES, INC. / EMERGTECH CONNECTIONS LLC (“Company”), a Texas corporation / LLC doing business as Pronto Rides or Limousine ATX. Affiliate and Company may together be referred to as the "parties."

Recital

WHEREAS, the Company is engaged in the business of providing transportation services, and

WHEREAS, [Affiliate Company Name] desires to provide transportation services on behalf of the Company when its own drivers are unavailable or fully booked, and

WHEREAS, the Parties desire to establish the terms and conditions governing the engagement of the Affiliate by the Company for the provision of transportation services.

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the Parties agree as follows:

Agreement

1. Scope of Services:The Company may engage the Affiliate to provide transportation services on behalf of the Company when the Company's own drivers are unavailable or fully booked ("Services"). The scope of each engagement, including specific services, compensation, and other relevant details, will be discussed and agreed upon separately for each instance. The Company and the Affiliate will communicate in writing or through a separate document to establish the specific terms and conditions applicable to each engagement.

2. Insurance: The Affiliate shall maintain its own Texas state-compliant insurance coverage for the Services provided. The insurance coverage should list the Company as an additional insured party. The Affiliate is solely responsible for any damages, injuries, or losses incurred during the provision of Services.

3. Quality Standards:The Affiliate agrees to meet the quality standards set by the Company for the provision of transportation services. This includes, but is not limited to, maintaining a professional appearance, adhering to all relevant traffic laws, and ensuring a high level of customer service.

4. Compliance with Policies and Guidelines: The Affiliate agrees to comply with all driver policies and guidelines set forth by the Company as attached in Exhibit A.

5. Non-Compete and Client Retention:During the term of this Agreement and for a period of [specify duration, e.g., 12 months] following its termination, the Affiliate agrees not to directly or indirectly solicit or provide transportation services to clients introduced to the Affiliate through the Company for private rides outside the Company's platform.

6. Confidentiality:The Affiliate shall maintain the confidentiality of all client information obtained through the Company and shall not disclose or use such information for personal gain or outside the scope of the Services provided to the Company.

7. Compensation: The compensation for Services provided by the Affiliate will be as agreed upon for each specific engagement and communicated in writing by the Company.

8. Term and Termination:This Agreement shall commence on the effective date and continue until terminated by either party with [specify notice period, e.g., 30 days] written notice. Either party may terminate this Agreement immediately for a material breach by the other party.

9. Governing Law:This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.

10. Ride Responsibility and Indemnification:

a. The Affiliate acknowledges and agrees that the rides provided under this Agreement are the sole responsibility of the Affiliate. The Company shall not be liable for any incidents, including accidents, injuries, or lawsuits arising from the provision of transportation services by the Affiliate.

b. The Affiliate agrees to hold the Company, its officers, directors, employees, and agents harmless from any claims, losses, damages, liabilities, costs, and expenses, including attorney's fees, arising out of or related to the Affiliate's provision of services under this Agreement. This indemnification shall apply to claims from third parties, passengers, or any other party.

By continuing to engage in transportation services for the Company, the Affiliate acknowledges and agrees to the terms of ride responsibility and indemnification outlined in this Agreement.

IN WITNESS WHEREOF, the Parties hereto have executed this Affiliate Services Agreement as of the Effective Date.

Exhibit A: Driver Policies / Guidelines

1. The Company is committed to providing a safe and reliable transportation service. This exhibit outlines the policies and guidelines that all drivers must adhere to while operating as representatives of the Company.

2. Code of Conduct:

a. Drivers are expected to maintain a professional and courteous demeanor at all times.

b. Respect passengers' privacy and adhere to all applicable privacy laws.

c. Follow all traffic laws and regulations.

3. Vehicle Standards:

a. Ensure vehicle is clean, well-maintained, and meets Company standards.

4. Passenger Safety:

a. Always prioritize the safety and well-being of passengers.

b. Report any safety concerns or incidents promptly to the Company.

5. Ratings and Reviews:

a. Drivers are subject to passenger ratings and reviews.

b. Consistently low ratings may result in a review of the driver's status with the Company.

6. Communication:

a. Stay informed of company updates and communicate promptly with the Company support as needed.

7. Non-Discrimination: 

a. The Company prohibits discrimination based on race, gender, religion, disability, sexual orientation, or any other protected status.

8. Termination: 

a. Failure to comply with these policies may result in termination of the driver's agreement with the Company.

9. Amendments:

a. The Company reserves the right to amend these policies. Any changes will be communicated to drivers in advance.

10. Client Retention:

a. Drivers are strictly prohibited from taking clients acquired through the Company for private rides outside the platform.

b. All clients introduced to drivers through the Company are considered the exclusive clients of the company for future rides.

c. Engaging in private arrangements with the Company clients outside the platform is a violation of the terms of service and may result in the termination of the driver's agreement with the Company.

11. Confidentiality:

a. Drivers are required to maintain the confidentiality of client information obtained through the Company.

b. Disclosing or using client information for personal gain or outside the scope of the Company services is strictly prohibited.

12. By continuing to drive for the Company, you acknowledge and agree to comply with these policies and guidelines.
